Reels & Shorts Editing: Content adaptation for social media platforms

4. Service Agreements and Pricing

4.1 Service Contracts

All service agreements must be confirmed in writing through our official contracts or service agreements. Verbal agreements are not binding unless subsequently confirmed in writing.

4.2 Pricing and Payment Terms

Pricing is as quoted in individual service agreements

Payment terms will be specified in each service contract

Late payment may result in service suspension and additional fees

All prices are in Israeli New Shekels (ILS) unless otherwise specified

Prices are subject to applicable Israeli VAT

4.3 Cancellation and Refunds

5. Client Responsibilities

5.2 Content Rights and Permissions

Clients warrant they have all necessary rights to content provided

Clients are responsible for obtaining releases from guests and participants

Clients must ensure compliance with all applicable laws regarding content

6. Intellectual Property Rights

6.1 Client Content

Clients retain ownership of their original podcast content

ValueBell Studio receives a limited license to use client content solely for providing agreed services

Client content includes but is not limited to: recordings, scripts, artwork, and promotional materials

6.2 ValueBell Studio Property

ValueBell Studio retains ownership of its proprietary methods, templates, and production techniques

Any custom tools or processes developed remain ValueBell Studio's intellectual property

The ValueBell Studio name, logo, and branding materials are protected trademarks

6.3 Work Product

Final edited podcasts and content belong to the client upon full payment

ValueBell Studio may retain copies for portfolio and promotional purposes with client consent

Any derivative works created during production follow terms specified in individual contracts

7. Confidentiality and Privacy

7.1 Confidential Information

Both parties agree to maintain confidentiality of sensitive business information

ValueBell Studio will not disclose client strategies, unreleased content, or private information

Confidentiality obligations survive termination of services

7.2 Data Protection

We are committed to protecting your privacy in accordance with Israeli privacy laws:

Personal data is processed lawfully and transparently

Data is collected only for legitimate business purposes

Appropriate security measures protect stored information

Data retention periods comply with legal requirements

8. Quality Standards and Delivery

8.1 Service Standards

All services will be performed with professional skill and care

Delivery timelines will be specified in individual service agreements

Quality standards will meet industry best practices

8.2 Revisions and Modifications

Revision policies are specified in individual contracts

Additional revisions beyond agreed limits may incur extra charges

Major scope changes require written agreement and may affect pricing

9. Limitation of Liability

9.1 Service Limitations

ValueBell Studio's liability is limited to the amount paid for specific services

We are not liable for indirect, consequential, or punitive damages

Force majeure events (including but not limited to natural disasters, government actions, or technical failures) may excuse performance delays

9.2 Technical Issues

While we strive for technical excellence, we cannot guarantee against all technical issues

Equipment malfunctions or technical failures will be addressed promptly but may affect delivery timelines

Backup procedures are in place but absolute data security cannot be guaranteed

10. Termination

10.1 Termination Rights

Either party may terminate services under the following conditions:

Breach of contract terms with 30 days written notice to cure

Non-payment of fees after written notice

Mutual agreement of both parties

10.2 Effect of Termination

Payment for completed work remains due

Confidentiality obligations continue

Client retains rights to work completed and paid for prior to termination

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by Israeli law without regard to conflict of law principles.

11.2 Dispute Process

Initial disputes should be addressed through direct communication

Mediation will be attempted before legal proceedings

Legal disputes will be resolved in competent Israeli courts

11.3 Language

While these Terms are provided in English, Hebrew translations may be provided. In case of conflicts between versions, the Hebrew version shall prevail in Israeli courts.

12. General Provisions

12.1 Modifications

These Terms may be updated periodically

Significant changes will be communicated to active clients

Continued use of services constitutes acceptance of updated Terms

12.2 Severability

If any provision is found unenforceable, the remainder of these Terms remains in effect.

12.3 Entire Agreement

These Terms, together with individual service contracts, constitute the complete agreement between parties.

12.4 Assignment

ValueBell Studio may assign these Terms with notice. Clients may not assign their obligations without written consent.
